Interim report for the second quarter April 1 – June 30, 2026, for the GroupNet sales amounted to 2.9 MSEK (last year 3.0 MSEK). Significant events during the second quarter April 1 – June 30, 2026, for the GroupApril 16 – H100 launches a group coaching product through its wholly owned subsidiary Entirebody Coaching AS.April 23 – H100 signs binding agreement expected to increase its bitcoin holdings to approximately 3,500 bitcoin on completion.June 23 – Annual General Meeting resolves on amended Articles of Association and on issue authorizations enabling completion of the acquisition of Moonshot AS and NSD ASSignificant events after the balance sheet date, June 30, 2026August 10 – H100 completed the acquisition of NSD AS, which through a preceding reorganization holds, directly and indirectly, all shares in Moonshot AS and PDI AS. Through the transaction the Group acquired 2,455.37 bitcoin, increasing the Group’s bitcoin holdings from 1,051.03 bitcoin as of June 30, 2026 to 3,506.4 bitcoin. The acquired companies have no outstanding financial debt.August 10 – The consideration was settled in full through a set-off issue of 790,534,666 new shares at a subscription price of SEK 1.86 per share, corresponding to a total consideration of approximately SEK 1,470.4 million. The share capital increased by SEK 79,053,466.60 to SEK 112,893,135.80 and the number of outstanding shares increased to 1,128,931,358. The new shares correspond to approximately 70.0 per cent of the total number of shares and votes in the Company after the issue.August 10 – Following the set-off issue, Geir Harald Hansen holds 781,676,551 shares, corresponding to approximately 69.2 per cent of the shares and votes in the Company, and has thereby obtained control of the Company.August 11 – Eirik Grøttum was appointed Chief Executive Officer of H100 Group AB with immediate effect. Johannes Wiik, Chief Executive Officer since September 2025, returned to the role of Chief Operating Officer.August 11 – Notice was given of an Extraordinary General Meeting to be held on August 28, 2026 in Stockholm, at which the meeting is proposed to resolve on the election of a new Board of Directors.August 12 – Peter C. Warren was appointed Chief Investment Officer of H100 Group AB.All of the above occurred after the balance sheet date and have had no effect on the Group’s financial position or result for the period January 1 – June 30, 2026. I am grateful for the opportunity and would like to thank the Board for their confidence in me.Capital allocationWith the closing of the acquisition of NSD AS and Moonshot AS for a combined 3,506 BTC, our team demonstrated the ability to identify opportunities and execute in challenging markets. That should not be taken for granted.Good opportunities don’t come often. They tend to emerge when capital is scarce, sentiment is weak, and acting requires strong conviction. Conversely, if you overreach in good times, you may have little or nothing left when the best opportunities appear. To quote Howard Marks: “The worst of deals are made in the best of times.” If H100 wants to avoid that trap, we have to think long-term, maintain financial flexibility, and act only when we believe the risk-reward is compelling. We need to stay patient, knowing that the quality of our decisions will matter far more than their frequency. You can expect us to work very hard to maintain that discipline going forward.More than a BTC treasuryOver time, the business of treasury companies has evolved and matured. Today, simply issuing debt or raising capital to accumulate BTC is unlikely to be sufficient on its own. You must add value to the BTC you own, either through effective capital allocation, capital market activities, M&As, or cash flow from operations. BTC should be the hurdle rate, not the business model.I accepted the role as CEO because I believe H100 is positioned to create something more than a BTC treasury company. The combination of our capital markets platform and technology-driven trading and investment business gives us capabilities that few treasury companies possess, and we believe this creates opportunities that extend well beyond simply holding Bitcoin. Currently, using custom-built technology, strong engineering expertise and deep capital markets knowledge, we trade global BTC markets daily with the same focus on risk-reward we bring to everything else we do.We believe this intersection of technology, capital markets, and Bitcoin will create attractive opportunities for years to come, and H100 intends to be an active participant in that evolution.
